Available Payment Options and Subscription Plans

 

Definitions (see also Pruvan Terms of Service)

  1. Content: Content is defined in the current Pruvan Terms of Service and is classified as Protected Customer Information (PCI) defined by the current Pruvan Information Security Policy (ISP) made part of the Pruvan SOC Report.  Content includes, but is not limited to, all information (such as data files, device data, written text, addresses, geolocation data, audio files or other sounds, photographs, videos or other images) which Users may have access to as part of, or through use of the Services, or Users create by using the Services or Users transmit to the Services.
  2. Order Type:  This is a specific type of Project that results from an named integration that creates an Project in Pruvan based on Work Provider Data.
  3. Pruvan Direct: A monthly subscription based service to provide photo management, electronic form management related dispatching of Projects and Tasks to field staff who perform field based data collection. Pruvan Direct includes but is not limited to Pruvan Online, an online website to manage the Service; the Pruvan Mobile app or client, a mobile data collection application client compatible with supported Android and iOS devices, and the Pruvan Downloader a PC desktop application compatible with supported PC desktop operating systems to retrieve Content collected using the Service.  This Pruvan Direct service and related software programs documentation and support is collectively referred to as “Pruvan Direct” or “Pruvan Direct account” or “Service” or “Services” in this Agreement.
  4. Privacy Policy: The Privacy Policy for Pruvan Direct with respect to Work Provider Staff which initially will be in the form found at http://pruvan.com/privacy.  Such policy may be modified by Pruvan from time to time at its sole discretion.  Pruvan will notify Work Provider when such policy is modified and, to the extent Work Provider believes that the policy had undergone a material modification that it does not agree with, Work Provider may terminate Services.
  5. Master-User:  Each Pruvan Direct account has only one Master-User, with full administrative privileges to use Pruvan Direct features and the ability to create additional Sub-Users associated with and managed by the Master-User. When a Work Provider Staff or Work Provider Vendor signs up for a Pruvan Direct account a Master-User is created with an associated Pruvan UserID and Password.  The Master-User has all Sub-User privileges.
  6. Service Organization Controls Report (SOC Report): Is a confidential document that describes Pruvan Organizational Controls and is available for annual inspection upon request at Pruvan's offices. The SOC Report may be modified by Pruvan from time to time at its sole discretion. To the extent Work Provider believes that the report does not meet Work Provider's requirements, Work Provider may terminate Services.
  7. Sub-User: A sub-account setup by the Master-User who has an assigned role granting or limiting access to the Master-User account and related Pruvan Direct features with an associated Pruvan UserID and Password. 
  8. Terms of Service and Acceptable Use Policy (Terms of Service): All Users shall abide by Pruvan’s Terms of Service Policy, which initially will be in the form found at http://pruvan.com/tos. Such Terms of Service may be modified by Pruvan from time to time at its sole discretion.  Pruvan will notify Work Provider when such policy is modified and, to the extent Work Provider believes that the policy had undergone a material modification that it does not agree with, Work Provider may terminate Services.
  9. User: Is used to identify any user of the Pruvan Direct Service or related software.  Each User must have a Pruvan UserID associated with a properly configured Pruvan Direct account to access the Services, except for Pruvan Client Portal shared links that do not require authentication.  A related paid subscription fee may be required to fully access all Pruvan Services. 
  10. Work Provider Data: Data that is entered or transferred into a Pruvan Direct account. This is considered Protected Customer Data per Pruvan Data Classification policy.  This may include but is not limited to work order names or numbers, property address information, lock box codes or other access codes, work instructions, applicable identification numbers such as claim or loan number(s), due dates, start dates, and tasks to be performed. May also be referred to as an “Work-Order-Feed”, “Work Order”, or “Project”.
  11. Work Provider Staff: A User who is a W2 employee of Work Provider doing work for Work Provider.  May also be referred to as Staff.
  12. Work Provider Vendor: A User who is a 1099 contractor of Work Provider doing work for Work Provider. May also be referred to as Vendor.

 

Payment options for each Pruvan Direct account

  • Option 1) Vendor Pays: Each Vendor is required to create their own Pruvan Direct account.  Vendor sets up and manages their account, including related Sub-User(s) and related integration(s).  Vendor must have valid a CC/billing information related to a selected subscription plan to access premium features.   
    1. Work Provider Data is imported into User’s Pruvan Direct account from a supported integration or is manually entered.
    2. Work is assigned to related Sub-Users. Assignee access the work assignment using the Sub-User credentials given them by Vendor. 
  • Content collected is available for download or automated transfer if related a device subscription is associated with the device collecting the Content.
  • Option 2) Work Provider Pays: Each Vendor is not required to create or manage their own Pruvan Direct account.  Work Provider creates and manages their own Pruvan Direct account, including related Sub-User(s) and related integration(s).  Work Provider must have valid a CC/billing information related to a selected subscription plan to access premium features.   
    1. Work Provider Data is imported into Work Provider’s Pruvan Direct account from a supported integration or manually entered.
    2. Work is assigned to related Sub-Users. Assignee access the work assignment using the Sub-User credentials given to Vendor or Staff by Work Provider. 
  • User’s using Sub-User account credentials, Vendor or Staff collects required Content and Content is available for download or automated transfer if related a device subscription is associated with the device collecting the Content.
  • Option 3) Metered Integration: If Vendor does not have a paid device subscription plan or usage subscription plan with an associated activated device that is required to transfer Content to Work Provider on a given day, the Work Provider can agree to pay a negotiated Metered Integration fee on a per Project name per day basis (typical) or as negotiated between Pruvan and Work Provider to transfer such Content.
    1. Additional Terms for Metered Integrations, if applicable, are made in a separate written agreement signed between Pruvan and Work Provider.

Subscription Plans for each Pruvan Direct account

Users with an administrator role may select one and only one subscription plan per Pruvan Direct account. 

  1. Device Subscription Plan:
    1. The device subscription plan provides Users the ability to buy device subscriptions to gain premium features for their associated devices that are used in the field. Devices will automatically be registered as they are used.  Devices are automatically activated if a device subscription is available. 
    2. User’s bill is calculated by the total number of device subscriptions on User’s account, not the total number of activated devices on the account. User must manage the required number of device subscriptions and associated device activation.  Any subscription changes during billing period pro-rated based on subscription renewal date.  
    3. Content collected must be associated with an activated device for related Content to be downloaded or transferred to a supported integration from the associated Pruvan Direct account.
  2. Usage Subscription Plan:
    1. Anytime Content transfer is requested on a given Project a programmatic subscription check is made to determine if an active Usage subscription plan is in effect in the related Pruvan Direct account. If the subscription check for an active Usage Subscription plan passes, meaning the Usage subscription plan is paid and in good standing, the device(s) that collected the Content is auto-activated enabling Content to be transferred or to be downloaded and a Usage fee, defined by the Usage plan, is accumulated for the Project and this Usage fee is charged to the related Pruvan Direct account at the end of the current Work Week. 
    2. Additional Usage fees related to the Project name (default) or Project address (only on specific Order Types related to a supported named integration) will not be repeated for any additional Content that is requested to transfer or be downloaded in the same Work Week.
    3. The term “Work Week” is defined as starting on each Monday at 12:00:00 AM thru the following Sunday at 11:59:59 PM (Central Time) per ISO 8601 standard.
    4. Usage fees will occur based on the exact spelling of Project name, even if multiple Project names share the same property address by default.
    5. If the Project Order Type is related to a supported named integration that defines Usage based on the exact spelling of Address instead of the exact spelling of Project name, then Usage will be determined by the exact spelling of Project address.
    6. If item count of Content exceeds 5,000 on a given Project for a given Work Week, another Usage fee will occur for each multiple of 5,000 items.
    7. If activity occurs on 50 or more tasks on a related Project for a given Work Week, another Usage fee will occur for each multiple of 50 tasks.
    8. Project status items and Pruvan service record items that transfer or download are not counted as Content for the purpose of calculating Usage fees.
  3. No Subscription Plan (Free Account)
    1. It is common for Work Providers to have a free Pruvan Direct account to be used as a repository for their mobile form definitions and to view work performed on their related Projects or to view related Project’s that are shared with Work Provider or by Work Provider to Vendors or Staff.
    2. Free accounts do not have access to premium features and are subject to Pruvan’s data retention policies.
